Held Terms of Service

These terms govern your use of the Held macOS application and Held Pro service. The service is provided by David Seyser, Kochgasse 3–5, 1080 Vienna, Austria, david@seyser.org.

1. Using Held

You must be at least 16 years old and legally able to enter into these terms. You are responsible for your device, credentials, use of generated content, and compliance with applicable law. Do not use Held to violate rights, bypass security or usage limits, distribute malware, or conduct unlawful, abusive, or fraudulent activity.

2. Bring your own key and Held Pro

In bring-your-own-key mode, you obtain and pay for your own OpenRouter access and are also bound by the provider's terms. Held Pro provisions and manages provider access for you, subject to the rolling five-hour and seven-day credit limits displayed in the app. Credits are an internal usage measure, have no cash value, are not transferable, and may vary with upstream model cost. Held may adjust limits prospectively to protect service reliability or reflect material provider-cost changes, with reasonable notice for material reductions.

3. Subscriptions, cancellation, and consumers

The price, billing interval, taxes, and renewal terms are shown at checkout. Lemon Squeezy acts as merchant of record and processes payment, invoices, taxes, refunds, and subscription administration. Paid subscriptions renew until cancelled. You can cancel through the billing portal or by contacting Held; cancellation normally takes effect at the end of the paid period unless applicable law or the checkout terms require otherwise.

If you are a consumer, nothing in these terms limits mandatory consumer rights. Any statutory right of withdrawal, conformity remedy, refund, or other protection remains available. Where you expressly request immediate supply of digital services during a withdrawal period, the consequences described at checkout and required by law apply.

4. AI services and content

You retain your rights in content you submit. You grant Held the limited permission needed to transmit and process it to provide the requested feature. AI transcription and generated responses may be inaccurate, incomplete, or unsuitable. Review important output and do not rely on Held as professional medical, legal, financial, safety, or emergency advice. Provider terms may also apply to submitted and generated content.

5. The application and intellectual property

Held and its software, branding, and documentation are protected by intellectual-property law. You receive a personal, limited, non-exclusive, non-transferable right to use the application while complying with these terms. You may not reverse engineer or interfere with the service except where applicable law expressly permits it.

6. Availability, suspension, and termination

Held may change or discontinue features and may suspend access when reasonably necessary for security, abuse prevention, legal compliance, non-payment, or serious breach. Held aims to provide a reliable service but does not guarantee uninterrupted availability or continued availability of any third-party model. You may stop using Held at any time. Cancellation and deletion are separate: request deletion as described in the Privacy Policy.

7. Liability

Held is liable without limitation where liability cannot legally be excluded, including for intent, gross negligence, injury to life, body, or health, and mandatory consumer protections. To the extent permitted by law, Held is not liable for indirect or unforeseeable loss, lost profits, loss caused by inaccurate AI output, or failures of third-party services. Nothing here shifts responsibility to you where doing so would be unlawful.

8. Changes and governing law

Material changes will be communicated with reasonable notice when required. Austrian law applies, excluding conflict-of-law rules, but this choice does not deprive consumers of mandatory protections of their country of residence. Mandatory consumer jurisdiction rules remain unaffected.
